Terms and Conditions
Last updated October 4, 2026. These terms explain how you may use this website and how we work with clients.
1. Agreement to these terms
These Terms and Conditions ("Terms") govern your use of the Novatech Studio website and the services offered by Novatech Studio LLC ("we", "us", "our"). By browsing this site or engaging us for a project, you agree to these Terms. If you do not agree, please do not use the site or our services.
When we start a project together, a written proposal or statement of work will sit alongside these Terms. If the two conflict, the signed proposal or contract controls for that engagement.
2. Who we are
Novatech Studio LLC is a software and design agency based at 30 N Gould St Ste R, Sheridan, WY 82801. You can reach us at support@novatechstudio.cloud or +1 (415) 555-0142.
3. Our services
We design and build web platforms, mobile applications, user interfaces, and related product work such as AI integration, cloud infrastructure, and ongoing support. The exact scope of any engagement is defined in a proposal, statement of work, or other written agreement.
Descriptions of services on this website are general. They are not a promise that a particular feature, timeline, or price applies to your project until we confirm it in writing.
4. Enquiries, proposals, and contracts
Submitting the contact form or emailing us is a request for information, not a binding order. We may decline a project at our discretion.
A proposal is valid for the period stated in it, or 30 days if no period is given. Work begins only after both parties accept the proposal in writing and any agreed deposit has been received.
5. Fees and payment
Fees, payment schedule, and currency are set out in the proposal. Unless we agree otherwise:
- Invoices are due within 14 days of the invoice date.
- Late amounts may accrue interest at 1.5% per month, or the maximum allowed by law, whichever is lower.
- We may pause work if an invoice is overdue until the account is current.
- Taxes, third-party licences, paid tools, and out-of-pocket expenses are extra unless the proposal says they are included.
Fixed-price work covers the agreed scope. Changes or additions are billed as change orders at the rates in the proposal, or at our then-current rates if none are stated.
6. Client responsibilities
You agree to provide timely feedback, access, content, and decisions we reasonably need to deliver the work. Delays on your side may shift the timeline and, where extra work is required, the fee.
You confirm that materials you give us (copy, images, data, credentials, brand assets) do not infringe anyone else's rights and that you have permission to use them in the project.
7. Intellectual property
Until invoices for the relevant work are paid in full, we retain ownership of the deliverables. After payment, you own the custom work we create for you, including source code, design files, and documentation, except as follows:
- We keep ownership of our pre-existing tools, libraries, templates, and know-how. You receive a perpetual, royalty-free licence to use them as part of the delivered product.
- Third-party software, fonts, stock assets, and open-source components stay under their own licences. We will identify material third-party terms where they affect you.
- We may show the work in our portfolio and marketing unless you ask us in writing not to, or the proposal says the engagement is confidential.
8. Confidentiality
Each party will keep the other's non-public business, technical, and personal information confidential and use it only to perform the engagement, except where disclosure is required by law or the information is already public through no fault of the receiving party.
9. Warranties and disclaimers
We will perform services in a professional and workmanlike manner consistent with industry practice. For a period of 30 days after delivery of a milestone, we will correct defects that are a material failure to meet the written specification, provided you notify us promptly.
Except as stated above, the website and our services are provided "as is". We do not warrant that the site or a delivered product will be uninterrupted, error-free, or fit for a purpose we have not agreed in writing. We do not guarantee specific business results such as revenue, rankings, or user growth.
10. Limitation of liability
To the fullest extent allowed by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, even if we have been advised of the possibility.
Our total liability arising out of a project will not exceed the fees you paid us for that project in the three months before the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including for fraud or personal injury caused by negligence.
11. Website use
You may browse this website for lawful purposes. You must not attempt to disrupt it, scrape it in a way that harms our systems, or use it to send unsolicited commercial messages.
Content on the site (text, layout, illustrations, and brand marks) is owned by us or our licensors and may not be copied for commercial use without permission. Project case studies describe work we delivered; they are not an endorsement by the named clients unless stated.
12. Termination
Either party may end an engagement as set out in the proposal. If none is stated, either party may terminate for convenience with 14 days' written notice, or immediately if the other party materially breaches these Terms and does not cure within 10 days of notice.
You will pay for work completed and non-cancellable costs incurred up to the termination date. Sections that by their nature should survive (including intellectual property, confidentiality, payment, and limitation of liability) will survive.
13. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. The courts located in Sheridan County, Wyoming, have exclusive jurisdiction, except that we may seek injunctive relief in any court of competent jurisdiction.
14. Changes
We may update these Terms from time to time. The new version will be posted on this page with an updated date. Continued use of the website after a change means you accept the revised Terms. For an active project, material changes apply only if both parties agree in writing.
